Terms of Service

These Terms govern access to ServicePulse at servicepulse.tech. ServicePulse is a product developed and supported by Cognify Works. This text is written to be readable. Cognify Works should have counsel review it before relying on it for commercial launch.

Overview

ServicePulse is a product developed and supported by Cognify Works. By visiting servicepulse.tech, creating an account, or using ServicePulse, you agree to these Terms and any order form, statement of work, or customer agreement that applies to your organization.

If you use ServicePulse on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

Account access

Access to the ServicePulse product requires an account for your organization. Credentials are assigned to people or roles and should not be shared outside authorized users.

  • You are responsible for keeping login credentials confidential.
  • You are responsible for activity under your organization accounts.
  • Notify your workspace administrator and Cognify Works if you suspect unauthorized access.
  • Cognify Works may suspend access to protect the service, other customers, or to investigate suspected misuse.

Acceptable use

Use ServicePulse only for lawful business purposes and in line with these Terms.

  • Do not attempt unauthorized access to systems, accounts, or data.
  • Do not interfere with or disrupt the service.
  • Do not upload malicious code or use the service to send spam or unlawful content.
  • Do not reverse engineer or copy the service except where permitted by law.
  • Follow applicable laws, including data protection rules for information you put in the platform.

Customer data ownership

As between you and Cognify Works, you keep ownership of data, content, and records that you or your users submit to ServicePulse ("Customer Data"). This includes CRM records, tickets, time entries, documents, and configuration.

You give Cognify Works a limited license to host, process, transmit, and display Customer Data only to provide, maintain, secure, and improve the service, and as described in your agreement and our Privacy Policy.

Subscription & billing

Commercial use of ServicePulse is offered on a subscription basis unless otherwise agreed in writing. Pricing, billing cycle, payment method, taxes, and renewal terms come from your order form or customer agreement, not from public marketing pages.

  • Fees are due on the agreed billing schedule.
  • Failure to pay may lead to suspension or termination after notice where required.
  • Changes to subscription scope or pricing go through your commercial agreement.

Restrictions

Unless we agree otherwise in writing, you may not:

  • Resell, sublicense, or make ServicePulse available to third parties as a standalone service.
  • Use the service to build a competing product using non-public elements of ServicePulse.
  • Remove or hide proprietary notices.
  • Use the service beyond reasonable use limits defined in your agreement.

Availability & support

Cognify Works works to keep ServicePulse running reliably, but the service may be unavailable for maintenance, updates, or reasons outside our reasonable control.

Support channels, response targets, and uptime commitments, if any, are defined in your customer agreement or support plan. Public marketing materials do not create service-level commitments unless they are part of a signed agreement.

Disclaimers

ServicePulse is provided on an "as is" and "as available" basis to the extent permitted by applicable law, except where a signed customer agreement says otherwise.

Cognify Works does not guarantee that the service will be uninterrupted, error-free, or meet every business requirement without configuration or integration work. Feature availability may change over time.

Limitation of liability

To the maximum extent permitted by applicable law, Cognify Works is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunity arising from use of the service.

Cognify Works's total liability related to the service is limited to the amounts you paid for ServicePulse in the twelve (12) months before the event that led to the claim, unless a different cap is set in your signed customer agreement.

Termination

You may stop using ServicePulse according to the cancellation terms in your customer agreement. Cognify Works may suspend or terminate access for material breach, non-payment where permitted, or to comply with law.

When access ends, the workspace may be disabled. Export and data return terms, if any, are in your customer agreement.

Governing law

These Terms are governed by the laws named in your customer agreement, or, if none is named, the laws of the jurisdiction where Cognify Works is organized, without regard to conflict-of-law rules.

Dispute resolution, venue, and arbitration terms, if applicable, are in your signed commercial agreement.
